Zuka Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your registration for, access to and use of Zuka through WhatsApp, getzuka.co and related channels (the "Service"). Zuka is a product operated by Zuka Solutions Limited ("Zuka Solutions", "we", "us" or "our").
By registering, accepting these Terms or using the Service, you enter into a binding agreement with Zuka Solutions. If you do not agree, do not register or use the Service. Additional terms from Anchor, a licensed financial institution, WhatsApp or another provider may apply to a particular component and will be presented or made available where required.
2. Eligibility
You must be at least 18 years old, legally capable of entering a contract, ordinarily eligible to receive the Service in Nigeria, and use a mobile number and WhatsApp account you are authorised to control. You must satisfy identity, compliance and risk requirements communicated during onboarding. We may decline registration where eligibility cannot be verified or where required by law, a regulated partner or risk controls.
3. Public-beta service
Zuka is offered as a public beta. The Service may change, contain defects, experience interruptions or be subject to limited availability, transaction limits and additional verification. We may add, modify, suspend or withdraw beta functionality to improve safety, reliability, compliance or performance. We will provide notice of material changes where reasonably practicable or legally required.
Do not rely on uninterrupted availability. Maintain access to alternative financial channels for urgent or essential needs.
4. Zuka, Anchor and licensed institutions
Zuka is a financial-technology product and is not a bank. Zuka uses infrastructure provided by Anchor Software Limited. Regulated account, funds-transfer, payment or related financial services are provided through duly licensed financial institutions and other regulated providers.
Customer funds are held and regulated financial activity is performed by the relevant licensed institution, not by Zuka Solutions, except to the extent applicable law expressly provides otherwise. The identity and role of the relevant institution and any applicable protection, account or service terms will be disclosed before or during activation. You should not assume deposit-insurance or another protection applies unless expressly confirmed for the relevant account.
5. Registration and BVN verification
The initial public-beta onboarding uses BVN verification. You authorise Zuka Solutions, Anchor and the relevant regulated or verification providers to submit and verify your BVN and process the resulting identity attributes for onboarding, fraud prevention, account security and legal compliance. Use only the secure process provided by Zuka; do not send your BVN as an ordinary chat message.
You must provide accurate, complete and current information about yourself. You must not register for another person, use another person's BVN or telephone number, create duplicate accounts, impersonate anyone or provide misleading information. Registration and successful BVN verification do not guarantee activation or continued access.
6. Your account and security
You are responsible for keeping your device, SIM, WhatsApp account and authentication credentials secure and for following security instructions. Do not share a PIN, password or one-time passcode. We may treat an instruction as authorised only after the authentication checks applicable to that instruction are completed.
Notify us immediately at hello@getzuka.co if your device or SIM is lost, your number is changed or reassigned, your WhatsApp account is compromised, or you suspect unauthorised activity. We may temporarily restrict the Service while we verify identity and protect the account. You remain responsible only to the extent permitted by law and taking account of whether you acted fraudulently, intentionally or negligently.
7. Instructions and transactions
You are responsible for reviewing the recipient, account details, amount and other information before confirming an instruction. An instruction may not be reversible after it has been accepted or submitted to a payment network or financial institution. We will use reasonable efforts to support a mistaken-payment or recovery request, but recovery is not guaranteed and may depend on the recipient, receiving institution, network rules and applicable law.
An instruction may be delayed, declined, limited, reversed or placed under review because of insufficient funds, incorrect information, duplicate submission, service unavailability, limits, fraud concerns, sanctions screening, legal requirements, partner instructions or other risk and compliance controls. Status information may be provisional until settlement and reconciliation are complete.
8. Fees and third-party charges
Zuka does not charge a product fee during the public beta. Your mobile-network provider, bank, payment network, recipient institution or another third party may impose data, messaging, transfer, reversal or other charges. Where Zuka becomes responsible for a fee or introduces its own fee, the amount or method of calculation will be disclosed before confirmation and, where required, you will be asked to accept the change before it applies.
9. Limits and availability
We or a regulated partner may apply account, balance, transaction, frequency, velocity or channel limits based on identity tier, risk, law, partner requirements and public-beta capacity. Limits may change. We may schedule maintenance or experience failures involving WhatsApp, telecommunications, Anchor, a bank, a payment network or another dependency. We will take reasonable steps to restore service and communicate material incidents.
10. Acceptable use
You must not use or attempt to use the Service to:
- break any law, court order, regulatory requirement, sanctions rule or third-party right;
- commit or facilitate fraud, theft, money laundering, terrorist financing, scams, bribery or another unlawful activity;
- transact for another person while concealing their identity or act as an unauthorised money-transfer or payment intermediary;
- create duplicate, false, synthetic or misleading identities or accounts;
- circumvent limits, security, verification, monitoring or restrictions;
- probe, attack, reverse engineer, disrupt, scrape or introduce malicious code into the Service;
- use proceeds of crime or send funds to a person or category prohibited by law or policy; or
- abuse Zuka, its personnel, providers or other users.
11. Monitoring, restrictions and investigations
We, Anchor or a regulated partner may monitor activity and request information reasonably required for security, compliance, fraud prevention, complaints or investigations. We may delay, decline, restrict, freeze or suspend access or activity where permitted or required by law, a court, regulator, law-enforcement authority, licensed institution or reasonable risk controls. Notice may be delayed or withheld where prohibited or where it would undermine an investigation or security measure.
12. WhatsApp communications
The Service relies on WhatsApp and is also subject to applicable WhatsApp terms and policies. WhatsApp is operated independently from Zuka Solutions. Availability, encryption, delivery and use of WhatsApp are outside our complete control. We may send necessary service, account, security, transaction and compliance communications through WhatsApp or another contact channel you provide.
Optional marketing messages require an appropriate lawful basis and may be stopped by replying "STOP" or contacting hello@getzuka.co. Opting out of marketing does not stop essential communications while your account remains open.
13. Privacy
The Zuka Product Privacy Notice explains how personal data is collected, used, disclosed, retained and protected. It forms part of the information governing the Service and should be read together with these Terms and any partner notice presented during onboarding.
14. Intellectual property
Zuka, the Service, software, designs, content, trade names, logos and related intellectual property are owned by or licensed to Zuka Solutions. We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms. You may not copy, modify, sell, sublicense, reverse engineer or commercially exploit the Service except where applicable law expressly permits it.
15. Third-party services
The Service depends on third parties including Anchor, licensed institutions, payment networks, Meta/WhatsApp, telecommunications and technology providers. Their terms, operating rules, limits and privacy notices may apply. We select and manage providers with reasonable care but do not control every third-party system or decision. Nothing in these Terms excludes responsibility that Zuka Solutions cannot lawfully exclude for its own conduct.
16. Service disclaimers
To the extent permitted by law, the public-beta Service is provided "as is" and "as available". We do not guarantee uninterrupted, error-free or completely secure operation, immediate settlement, recovery of a mistaken payment, compatibility with every device or uninterrupted availability of WhatsApp or partner systems. Information provided through the Service is operational information and not legal, tax, investment or other professional advice.
Nothing in these Terms excludes a mandatory consumer right, statutory protection or responsibility that cannot lawfully be excluded or limited.
17. Liability
Each party is responsible for loss it causes in accordance with applicable law. To the fullest extent permitted by law, Zuka Solutions is not responsible for indirect, special, punitive or consequential loss, or loss caused solely by incorrect information you supplied, your unauthorised disclosure of security credentials, unlawful use, a recipient's conduct, or an external event beyond our reasonable control.
Nothing excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, breach of a non-excludable statutory duty, failure to account for funds for which Zuka Solutions is legally responsible, or another liability that cannot lawfully be excluded. Any allocation of responsibility involving a regulated institution remains subject to applicable law and the institution's approved terms.
18. Account suspension and closure
You may request closure at hello@getzuka.co. Closure is subject to identity verification, completion or cancellation of pending activity, resolution of restrictions or disputes, and withdrawal or transfer of remaining funds under the relevant institution's rules. We may suspend or close access for breach, inactivity, security, risk, legal, regulatory or partner reasons, with notice where permitted and reasonably practicable.
Closure does not cancel completed transactions, accrued obligations, lawful investigations or record-retention duties. Provisions intended to survive—including privacy, intellectual-property, liability, dispute and record provisions—continue as applicable.
19. Complaints and error resolution
Send a complaint, unauthorised-activity report or transaction query to hello@getzuka.co as soon as possible. Include your registered telephone number, the relevant reference and a clear description, but do not include a password, PIN or one-time passcode. We may verify your identity and coordinate with Anchor, a licensed institution, network or recipient institution.
We will acknowledge and investigate complaints within the timelines required by applicable law and the relevant regulated provider. If the matter is not resolved, we will explain any escalation route available through the licensed institution, the Central Bank of Nigeria, another regulator, an ombudsman or a court, as applicable.
20. Changes to the Service or Terms
We may update these Terms as the beta, providers, law or Service changes. We will publish the revised Terms and provide reasonable additional notice of a material change where required. A change will not retroactively alter a completed transaction. If you do not accept a material change, you may stop using and request closure of the Service, subject to pending obligations.
21. Governing law and disputes
These Terms and non-contractual obligations connected with them are governed by the laws of the Federal Republic of Nigeria. Before formal proceedings, you and Zuka Solutions should attempt in good faith to resolve a dispute through the complaint process, unless urgent relief is required. Subject to any mandatory consumer forum or jurisdiction, the courts of Nigeria with competent jurisdiction may hear unresolved disputes.
22. General provisions
If a provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A delay in enforcing a right is not a waiver. You may not transfer your account or rights under these Terms. We may transfer our rights and obligations as part of a genuine reorganisation or service transfer, subject to law, regulatory requirements and protection of your rights. These Terms, the Privacy Notice and applicable partner terms form the relevant agreement for the Service and do not create a partnership, employment or agency relationship between you and Zuka Solutions.
